Terms & Conditions of Sale

1. About us

Vala Fresh Ltd, registered in England & Wales No. 16734737, Unit A1, Brantwood Road, Tottenham, London N17 0DX ("Vala Fresh", "we"). These terms govern all sales of goods by us.

2. Trade customers only

We are a business-to-business wholesaler. By ordering you confirm you are purchasing in the course of business and not as a consumer. Consumer protection legislation does not apply to our sales.

3. Trade accounts

Orders are accepted from approved trade account holders. We may decline, suspend or close an account at our discretion. Credit facilities (including via iwoca) are subject to separate approval and terms.

4. Orders

Orders may be placed by WhatsApp (+44 330 190 1903 — including via our AI assistant), by phone, or by email. Orders received by midnight are scheduled for next-morning delivery. The minimum order value is £300 unless we agree otherwise in writing. An order is accepted when we confirm it.

5. Prices & payment

Fresh produce is a daily market: prices are quoted per order and exclude VAT where applicable. Payment is due on the terms stated on your account or invoice. We may charge statutory interest on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.

6. Delivery

We deliver across London six mornings a week using our own refrigerated fleet. Delivery windows are estimates; we are not liable for delay caused by traffic, weather or events outside our control. You must ensure safe access and someone authorised to receive goods.

7. Quality, inspection & claims

All produce is quality-checked at goods-in and picked to order. Being perishable goods, you must inspect on delivery and notify us of any shortage or quality issue within 24 hours of delivery, with photos, via WhatsApp or email. Where a claim is accepted we will replace the goods or credit your account — this is your exclusive remedy.

8. Title & risk

Risk passes on delivery. Title passes when we receive payment in full for the relevant invoice.

9. Liability

Nothing limits liability for death or personal injury caused by negligence, fraud, or anything that cannot lawfully be limited. Otherwise our total liability per order is limited to the price paid for that order, and we are not liable for loss of profit or indirect loss.

10. Data

We process personal data as described in our Privacy & Cookies Policy. Calls and messages may be recorded for order accuracy and training.

11. General

These terms are the entire agreement for each order and supersede prior discussions. If any clause is unenforceable the rest remain in force. These terms are governed by the laws of England & Wales and the courts of England & Wales have exclusive jurisdiction.
